Terms of Service

Welcome to Akashic Nexus. These Terms of Service ("Terms") govern your access to and use of our website, digital products, software engineering services (including web platforms and Android/iOS application development), and our training and internship programs. By engaging with our services, you agree to be bound by these Terms.

1. Engineering Services & Deliverables

Akashic Nexus provides bespoke software architecture, mobile app development, and strategic IT consulting.

• Scope of Work: All project deliverables, timelines, and technical specifications will be outlined in a dedicated Master Services Agreement (MSA) or Statement of Work (SOW) prior to the commencement of development.
• Client Responsibilities: Clients must provide timely feedback, necessary API credentials, and required digital assets to ensure project milestones are met. Delays on the client's end may result in timeline adjustments.
• Training Programs: Enrollment in our training and internship cohorts is subject to separate application criteria and candidate evaluation. Acceptance is at the sole discretion of Akashic Nexus.

2. Intellectual Property & Code Ownership

Upon final payment of all outstanding invoices, full ownership rights of the custom, client-specific source code (e.g., custom UI, specific business logic) are transferred to the client. However, Akashic Nexus retains the rights to any pre-existing, proprietary libraries, open-source frameworks (such as React, Angular, Tailwind CSS, or Bootstrap), and standard functional modules used to build the platform. We grant the client a perpetual, non-exclusive license to use these underlying components as part of the delivered software.

3. Payment Terms

Project billing is typically structured around developmental milestones as defined in your SOW. An initial mobilization deposit is required before engineering resources are allocated. All invoices are due within the timeframe specified on the billing document. Akashic Nexus reserves the right to suspend code deployment or withhold handover of final server credentials until full payment is realized.

4. Warranties & Maintenance

We warrant that the software will perform substantially in accordance with the agreed-upon technical specifications upon deployment. Following final delivery, Akashic Nexus provides a standard 30-day bug-fix warranty. Ongoing server monitoring, platform updates, and feature expansions fall outside this warranty and require a separate Service Level Agreement (SLA) or maintenance contract.

5. Limitation of Liability

In no event shall Akashic Nexus, its directors, employees, or partners be liable for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profits or lost data, arising from your use of our software or services. Our total liability to you for any cause whatsoever will at all times be limited to the amount paid, if any, by you to us for the specific services relating to the claim.

6. Governing Law

These Terms and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Kolhapur, Maharashtra.
